Terms of Engagement

1. Scope of Master Agreement

These Terms of Engagement govern the use of this website and establish the general framework under which Hans and Norms Technology Solutions Private Limited (“HTS”) provides software engineering, cloud architecture, mortgage automation, and healthcare business process services. Specific client deliverables are governed by executed Statements of Work (SOWs) and Master Services Agreements (MSAs).

2. Intellectual Property (IP) Ownership

Under our Dedicated Team and Project-Based delivery contracts, all bespoke code, custom configurations, architectural artifacts, and domain documentation developed specifically for a client become the sole and exclusive intellectual property of the client upon receipt of contractually agreed payments.

3. Confidentiality & Bilateral NDAs

Both parties agree to treat all business plans, customer data, lending algorithms, medical records, and software architectures as strictly confidential. This confidentiality obligation survives termination of any engagement for a period of five (5) years, or indefinitely in the case of trade secrets and PHI/ePHI.

4. Service Level Agreements (SLAs) & Warranty

HTS warrants that all services will be executed in a professional, workmanlike manner consistent with prevailing enterprise software engineering standards. Managed support contracts include guaranteed uptime metrics, Mean Time to Respond (MTTR), and Mean Time to Resolve (MTTR) escalations.

5. Governing Law & Jurisdiction

These terms and corporate governance policies shall be construed in accordance with the laws of India. Any legal dispute or proceeding arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in Pune, Maharashtra, India, unless an alternate arbitration clause is formally ratified in a client MSA.
